Nexpand CRM — Terms of Service

These Terms of Service (the "Terms") govern access to and use of the Nexpand CRM web application available at crm.nexpand.hu, the Nexpand desktop agent software, and related services (together, the "Service"). The Service is operated by Zsigmond Gergely, egyéni vállalkozó (sole proprietor, Hungary), registered seat: 1026 Budapest, Guyon köz 5., Hungary, sole-proprietor registration number: 59673189, VAT number: 90477241-2-41 ("Provider", "we", "us"). By creating an account, ticking the acceptance checkbox at registration, or using the Service, you agree to these Terms, the Acceptable Use Policy, the Data Processing Agreement and the Privacy Policy, which form part of these Terms. If you accept on behalf of a company, you confirm you are authorised to bind that company.

1. Business use only

The Service is a professional business tool offered exclusively to businesses, sole traders and other professional users (B2B). By registering you confirm that you use the Service in the course of your trade, business or profession and not as a consumer. Consumer-protection rules applicable to consumer contracts do not apply.

2. The Service

Nexpand CRM is a self-hosted-style, multi-tenant CRM for LinkedIn-based B2B prospecting. Core functionality includes: importing and organising contacts and companies (CSV/XLSX/LinkedIn data export files or Sales Navigator exports), lead lists, tags, notes, filters and exports; and — through a desktop agent application installed on your own computer (the "Agent") — synchronising your own LinkedIn network and message history, enriching contact and company records, capturing Sales Navigator searches, sending paced connection requests and messages, and related automation ("Automation Features").

The Agent runs on your machine, under your own LinkedIn browser session and your own IP address. The Provider's servers never access LinkedIn directly and never receive or store your LinkedIn password.

3. Important notice about LinkedIn

  • The Service is not affiliated with, endorsed by, or sponsored by LinkedIn Corporation or Microsoft. "LinkedIn" and "Sales Navigator" are trademarks of their respective owners.
  • The Automation Features operate on your LinkedIn account on your instructions. Automated activity, data collection and use of LinkedIn's internal interfaces may conflict with the LinkedIn User Agreement and can lead to warnings, restrictions or permanent loss of your LinkedIn account.
  • You use the Automation Features at your own risk and under your own responsibility. You are solely responsible for your LinkedIn account(s), for complying with LinkedIn's terms as they apply to you, and for the volumes and pacing you configure. The Provider is not liable for any restriction, suspension or termination of your LinkedIn account or Sales Navigator subscription, or for any consequences thereof.
  • The Service includes safeguards (pacing, daily/weekly caps, automatic pause on LinkedIn warnings). These reduce risk but do not eliminate it, and no particular outcome is guaranteed.
  • Non-automated use (importing LinkedIn's official data-export files) is always available.

4. Account

You must provide a valid email address and keep your credentials confidential. You are responsible for all activity under your account. Notify us without undue delay of any suspected unauthorised use. One person or company per account unless agreed otherwise; you may run the Agent on more than one of your own devices.

5. Free trial

New accounts receive a free trial (currently 14 days). At the end of the trial, Automation Features are paused until a subscription is purchased; your data remains accessible. We may modify or withdraw trial offers at any time; a trial does not obligate you to purchase.

6. Fees and payment

  • Paid use of the Service requires a subscription. Prices are shown at purchase inside the app; unless stated otherwise they are exclusive of VAT, which is added where applicable.
  • Payments are processed by Stripe; we do not store your card details. Subscriptions renew automatically for successive billing periods until cancelled.
  • You can cancel at any time on the Billing page; cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable, including for partly used periods, except where required by mandatory law.
  • We may change prices with at least 30 days' notice; changes apply from your next renewal. If you do not agree, cancel before the renewal.
  • If a renewal payment fails, we may pause Automation Features and, after reasonable notice, suspend the account.

7. Your data

  • You own your data. All contact, company and message data you import into or collect through the Service ("Customer Data") remains yours. You grant us the rights needed to host, process, back up and display it solely to provide the Service.
  • You are the data controller for Customer Data; we process it as your processor under the Data Processing Agreement.
  • You are responsible for the lawfulness of your prospecting. You must have a valid legal basis (typically legitimate interest for B2B outreach) for collecting and processing the personal data of the people in your CRM, and you must honour their privacy rights (see the Acceptable Use Policy).
  • You can export your data (CSV/XLSX) at any time. Deleted records go to Trash and are purged after 14 days. On account closure we delete Customer Data as described in the DPA.
  • The Service maintains a shared enrichment cache of publicly available professional profile and company attributes; its operation is described in the Privacy Policy.

8. Acceptable use

You must comply with the Acceptable Use Policy. In short: use the Service only for lawful B2B prospecting, do not send unlawful or harassing messages, do not attempt to circumvent safety caps, do not resell extracted data, and respect the rights of the people whose data you process.

9. Desktop agent licence

We grant you a non-exclusive, non-transferable, revocable licence to install and run the Agent on devices you control, solely to use the Service. You may not reverse engineer, modify or redistribute the Agent except as permitted by mandatory law. The Agent updates itself automatically to remain compatible with the Service.

10. Intellectual property

The Service, the Agent, and all associated software, design and branding are the Provider's property or licensed to it. Except for the rights expressly granted in these Terms, no rights are transferred to you.

11. Third-party services

The Service interoperates with third-party services you choose to use — LinkedIn (via your own account), Stripe (payments), HubSpot (optional sync you connect), and email delivery providers for transactional mail. Your use of those services is governed by their own terms, and we are not responsible for them.

12. Availability and support

We aim for high availability but the Service is provided without an uptime guarantee. We may change, improve or discontinue features with reasonable notice where a change is material and adverse. Support is provided on a best-effort basis by email.

LinkedIn changes its interfaces frequently and without notice. Features that depend on LinkedIn's interfaces may stop working temporarily or permanently; restoring them is handled on a best-effort basis and such interruptions are not a defect of the Service.

13. Warranties and disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy of enriched data, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that any prospecting outcome will be achieved.

14. Limitation of liability

To the maximum extent permitted by law: (a) neither party is liable for indirect or consequential damages, loss of profits, loss of business, or loss of data (beyond restoration from existing backups); (b) the Provider's total aggregate liability arising out of or related to the Service is limited to the fees you paid in the 12 months preceding the event giving rise to the claim; (c) nothing limits liability for intentional misconduct, gross negligence, or damage to life, limb or health, or any other liability that cannot be limited under Hungarian law. You acknowledge that the subscription price reflects this allocation of risk. Clause 3 (LinkedIn risk) applies in addition.

15. Indemnity

You will indemnify the Provider against third-party claims (including claims by data subjects, authorities or LinkedIn) arising from your Customer Data, your outreach content, or your use of the Service in breach of these Terms or applicable law.

16. Suspension and termination

  • You may stop using the Service and cancel your subscription at any time, and may request deletion of your account by email.
  • We may suspend or terminate the account (with prior notice where practicable) if you materially breach these Terms or the Acceptable Use Policy, if required by law, or if your use creates security or legal risk for the Service or other customers.
  • After termination, we delete Customer Data as described in the DPA. Export your data before closing your account.

17. Changes to these Terms

We may update these Terms. For material changes we will give at least 15 days' notice by email or in-app notice. Continued use after the effective date constitutes acceptance; if you do not agree, stop using the Service and cancel before the change takes effect.

18. Governing law and disputes

These Terms are governed by Hungarian law, excluding its conflict-of-law rules and the UN CISG. The parties will first attempt to settle disputes amicably; failing that, the Hungarian courts having jurisdiction at the Provider's registered seat are exclusively competent, to the extent permitted by law.

19. Miscellaneous

If a provision of these Terms is invalid, the remainder stays in force. Our failure to enforce a provision is not a waiver. You may not assign the agreement without our consent; we may assign it to a successor of the business. These Terms, together with the documents referenced in them, are the entire agreement regarding the Service. The language of the agreement is English.
